Physician Assistant Section Bylaws

1.00 PHYSICIAN ASSISTANT SECTION.
There shall be a special section for Physician Assistants who have graduated from an education program accredited by the Commission on Accreditation of Allied Health Education Programs, or its predecessor or successor agencies, and who have been approved to practice as a physician assistant by the North Carolina Medical Board.

1.01 PURPOSE.
The purpose of the Section is to provide a means for PAs to address and subsequently refer common problems, issues and /or interests to the NCMS Board of Directors and House of Delegates.

1.02 MEMBERSHIP.
Membership in the Section shall be limited to PA members of the NCMS.

1.03 GOVERNING COUNCIL.
There shall be a Governing Council of the Section to direct programs and activities.

1.031 MEMBERS.
There shall be five (5)-voting members of the Governing Council consisting of a Chairperson, Chairperson-Elect, Secretary-Treasurer, and two (2) At-Large Council Members. The Chairperson shall serve as the Delegate; Chairperson-Elect shall serve as the Alternate Delegate. Governing Council shall be elected from the floor at the annual business meeting by a majority of the members.

1.032 OFFICERS.
The officers of the Section shall have the following duties.

1.0321 CHAIRPERSON.
The Chairperson shall preside at the business meetings and the meetings of the Governing Council and will serve as the Delegate to the NCMS House of Delegates to represent the Section as allowed by the bylaws of the NCMS. The Chairperson shall annually appoint a PA Section Projects Chair for any and all projects undertaken by the PA Section.

1.0322 CHAIRPERSON-ELECT.
The Chairperson-Elect shall assist the Chairperson, preside in the absence of the Chairperson, and serve as Alternate Delegate to the NCMS House of Delegates to represent the Section as allowed by the bylaws of the NCMS.

1.0323 SECRETARY-TREASURER.
The Secretary-Treasurer shall maintain such records as may be necessary or advisable for the conduct of the activities of the Section.

1.0324 AT-LARGE COUNCIL MEMBERS
There shall be two (2) At-Large positions on the Governing Council.

1.033 TERM.
Governing Council members shall serve a term of one year beginning on the first day of January following the conclusion of the business meeting at which they were elected. Term of service for each office shall not have consecutive service restrictions. Governing Council members shall be determined by a vote of the membership at each annual meeting.

1.034 VACANCIES.
Any vacancy occurring on the Governing Council will be filled by Governing Council appointment until the next business meeting of the Section.

1.035 MEETINGS.
The Governing Council shall meet at least twice yearly under the direction of the Chairperson.

1.04 ANNUAL BUSINESS MEETINGS.
There shall be an annual business meeting of the members of the Section held in conjunction with the Annual Meeting of the NCMS.

1.041 OTHER MEETINGS.
The Chairperson may call for special business meetings, for which Section members shall be notified at least 45 days prior to the meeting. (Note: This is consistent with NCMS policy).

1.042 VOTING MEMBERSHIP.
The voting membership shall consist of the Members of the Section.

1.043 PURPOSE.
The purpose of the business meetings shall be:


  • to hear such reports as may be appropriate:

  • to consider and vote upon such matters as may properly come before the meeting:

  • to elect, at the annual business meeting, the members of the Governing Council;

  • to conduct such other business as may properly come before the meeting.


1.044 QUORUM.
A quorum for the business meetings of the Section shall be those members in attendance.

1.045 VOTING.
The majority of votes cast on any question to come before the Section shall determine the question.

1.046 REFERENCE COMMITTEES.
The Governing Council, at its discretion, shall have the authority to form reference committees to receive testimony on business before the meeting, to report on the floor on the content of the testimony and to introduce recommendations to the floor of the Section meeting.

1.047 RULES OF ORDER.
The rules of order for conduct of business shall be the Davis Rules of Order as the currently recognized rules of the House of Delegates of the NCMS, as modified by the Section.

1.048 FINANCIAL RESPONSIBILITY.
Funding of the Section shall be in accordance with the bylaws of the NCMS.

1.049 AMENDMENTS.
These bylaws may be amended during any business meeting of the Section be a majority vote.
